Vendor Terms and Conditions For WhatsApp API Platform Users **Effective Date:** 09/06/2026 These Vendor Terms and Conditions ("Agreement") govern the use of WhatsApp API services, messaging solutions, and related platforms provided by **Vyapar Vijay** ("Company," "we," "our," or "us"). By registering for, accessing, or using our services, you ("Vendor," "User," "Customer," or "Business") agree to comply with these Terms and Conditions. --- # 1. Acceptance of Terms By using our WhatsApp API platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions, our Privacy Policy, and all applicable laws and regulations. --- # 2. Eligibility To use our services, you must: * Be at least 18 years old. * Have authority to represent a business or organization. * Provide accurate and complete registration information. * Comply with all applicable local, national, and international laws. --- # 3. Service Description Vyapar Vijay provides: * WhatsApp Business API access. * Business messaging solutions. * Automation tools and chatbot integrations. * Marketing and transactional messaging services. * Customer communication management solutions. We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. --- # 4. Vendor Responsibilities The Vendor agrees to: * Use the platform only for lawful business purposes. * Obtain all necessary customer consents before sending messages. * Maintain accurate customer records. * Ensure compliance with WhatsApp policies. * Protect customer information and privacy. The Vendor shall be solely responsible for all content transmitted through the platform. --- # 5. Prohibited Activities Vendors shall NOT: * Send spam or unsolicited messages. * Send misleading, fraudulent, or deceptive content. * Promote illegal products or services. * Send content that violates intellectual property rights. * Use purchased, rented, or scraped contact databases. * Engage in harassment, abuse, hate speech, or discrimination. * Circumvent WhatsApp policies or security mechanisms. Violation may result in immediate suspension or termination. --- # 6. WhatsApp Compliance The Vendor acknowledges that: * WhatsApp Business API is governed by Meta's policies. * WhatsApp may reject, suspend, limit, or disable accounts at its sole discretion. * Template approvals are controlled by WhatsApp/Meta. * Message delivery is not guaranteed. Vyapar Vijay shall not be liable for any action taken by WhatsApp or Meta. --- # 7. Account Approval Account activation is subject to: * Verification of submitted business documents. * WhatsApp Business approval requirements. * Payment clearance. We reserve the right to reject any application without providing a reason. --- # 8. Pricing and Payments * Vendors agree to pay all applicable fees. * Fees are subject to change with reasonable notice. * WhatsApp conversation charges are determined by Meta. * Taxes, GST, government levies, and statutory charges are the Vendor's responsibility. * Delayed payments may result in suspension of services. --- # 9. No Refund Policy Unless otherwise agreed in writing: * Setup fees are non-refundable. * Platform subscription fees are non-refundable. * WhatsApp conversation charges are non-refundable. * Partially used services are non-refundable. Refunds, if any, shall be at the sole discretion of Vyapar Vijay. --- # 10. Data Privacy We implement reasonable security measures to protect data. However, the Vendor acknowledges that: * Internet-based communications cannot be guaranteed as fully secure. * The Vendor is responsible for obtaining customer consent. * The Vendor remains the owner of its customer data. --- # 11. Intellectual Property All software, branding, platform features, documentation, and related materials remain the exclusive property of Vyapar Vijay. The Vendor may not: * Copy the platform. * Reverse engineer services. * Resell services without written authorization. * Use our trademarks without permission. --- # 12. Service Availability We aim to provide reliable services but do not guarantee: * Continuous availability. * Uninterrupted access. * Error-free operation. * Guaranteed message delivery. Scheduled maintenance and unexpected outages may occur. --- # 13. Suspension and Termination We may suspend or terminate services immediately if: * Terms are violated. * Illegal activity is detected. * Payment obligations are not met. * WhatsApp or Meta requests account suspension. No compensation shall be payable for such suspension. --- # 14. Limitation of Liability To the maximum extent permitted by law: Vyapar Vijay shall not be liable for: * Loss of profits. * Loss of business opportunities. * Customer data loss. * Message delivery failures. * Third-party platform restrictions. * Indirect or consequential damages. Total liability shall not exceed the amount paid by the Vendor during the preceding three (3) months. --- # 15. Indemnification The Vendor agrees to defend, indemnify, and hold harmless Vyapar Vijay, its directors, employees, partners, and affiliates against any claims, losses, liabilities, damages, penalties, or legal expenses arising from: * Vendor content. * Vendor messaging practices. * Violation of laws. * Violation of WhatsApp policies. * Customer complaints. --- # 16. Force Majeure Neither party shall be liable for delays or failures caused by events beyond reasonable control, including: * Natural disasters. * Government restrictions. * Internet outages. * Cyberattacks. * Platform disruptions. * Actions by Meta or WhatsApp. --- # 17. Amendments We may update these Terms and Conditions from time to time. Continued use of the platform after updates constitutes acceptance of the revised terms. --- # 18. Governing Law These Terms shall be governed by and construed in accordance with the laws of **India**. Any disputes shall be subject to the exclusive jurisdiction of the courts located in **Kushinagar, Uttar Pradesh, India**. --- # 19.
